Introduction

Welcome to SFT21! These Terms of Use ("Terms") constitute a legally binding agreement between you, as a user ("you", "your", "User"), and SFT21, LLC ("Company", "we", "us", "our"), with its registered office at 2120 Carey Ave, Cheyenne, WY 82001, Wyoming, USA.

By accessing, registering, or using any part of the website https://www.sft21.com/m, or associated platforms within the SFT21 ecosystem (including, but not limited to, SFured, SFnet, and SFshop), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
This website is currently in the development phase and serves as a visual and informational basis for the SFT21 Business Concept. If you do not agree with these Terms, please do not use our services.

1. Definitions of Key Terms

• Services: All websites, platforms (including, but not limited to, SFured, SFnet, and SFshop), applications, content, and functionalities that the Company currently offers or will offer in the future within the SFT21 ecosystem.
• User: Any person who accesses or uses the Services, regardless of whether they are registered.
• Registered User: A User who has successfully created a user account (KYC).
• License Holder: A Registered User who has purchased an SFT21 License Package.
• SFfranchisee: A License Holder or other buyer who has entered into a Franchise Agreement.
• Content: All text, graphics, images, software, video, audio, and other information available through the Services.
• User Content: All content that Users publish, transmit, or share via the Services (e.g., posts on SFnet, product reviews).
• SFalgorithm: The system of user organization within the business concept and profit distribution.

2. Eligibility and Account Registration

• Age Limit and Consent: The use of our Services is permitted for individuals who are at least 16 years old.
  • If you are 18 or older, you independently accept these Terms.
  • If you are between 16 and 18 years old (considered a minor under applicable law), the consent of a parent or legal guardian ("Guardian") is required to create an account and use the Services. During registration, you will be asked to provide information about the Guardian and a consent form that the Guardian must sign. By accepting these Terms, you confirm that you have obtained valid consent. The Guardian providing consent also accepts these Terms on your behalf and assumes responsibility for your activities on the platform.
• Accuracy of Information: During registration, you agree to provide accurate, complete, and up-to-date information, including information about the Guardian if applicable. You are responsible for maintaining the accuracy of this information. The use of other people's documents or misrepresentation will result in the permanent closure of the account.
• Account Security: You are solely responsible for the security of your password and for all activities that occur under your user account. Any activity under your account is considered your own activity. You agree to immediately notify the Company of any unauthorized use of your account.
• Identity Verification (KYC - Know Your Customer): The creation of a user account and access to functionalities within the SFT21 ecosystem, including SFured, SFnet, and SFshop, is conditioned upon the successful completion of a mandatory identity verification process (KYC). This process is necessary for the security of all users, fraud prevention, and compliance with regulatory requirements. As part of the KYC process, you will be required to submit accurate personal data and valid documentation, which may include, but is not limited to, a photograph of a personal document and a "selfie" photograph. Refusal or failure to pass the KYC procedure will result in the inability to use Services that require a registered account.

3. User Conduct and Rules of Use

By using our Services, you agree not to:

• Publish false, misleading, illegal, defamatory, offensive, or discriminatory information.
• Use the Services for any unlawful purpose or to violate any local, state, national, or international laws.
• Impersonate another person or entity.
• Distribute spam, unwanted messages, chain letters, or pyramid schemes.
• Use data of other members from the SFalgorithm for unauthorized marketing outside the SFT21 system.
• Upload viruses, malicious code, or anything that could harm the functionality of the Services.
• Attempt unauthorized access to our systems, other Users' accounts, or collect their personal data.
• Copy, modify, or redistribute the platform's content (text, graphics, software) without the explicit written permission of the Company.
• Infringe on the intellectual property rights of the Company or third parties.

In cases of severe violations (illegal activities, compromising the system), the Company reserves the right to immediately block the account without prior notice.

4. Proprietary Rights and Intellectual Property

• Company's Ownership: All Services, including the SFT21 brand, logos, software (including the SFalgorithm), design, and Content, are exclusively the property of the Company and its licensors, protected by copyright and other intellectual property laws.
• SFlicense: Represents a digital product that enables participation in the Bonus program during the development phase. This is not an investment offer nor a sale of equity shares. We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services exclusively for your personal, non-commercial purposes (unless otherwise defined by the Franchise Agreement), in accordance with these Terms.
• Franchise Business: Upgrading to the status of SFfranchisee is regulated by a separate Franchise Agreement and entails operational obligations (activity on SFnet, promotion, shopping in SFshop).
• User Content: You retain ownership of your User Content. However, by publishing User Content, you grant the Company a global, non-exclusive, royalty-free license to use, copy, modify, distribute, and display that content for the purpose of providing and promoting the Services.

5. Specific Terms for Products

• Purchase of License Packages: The purchase of the SFT21 License is regulated by a separate License Purchase Agreement. In case of a conflict between these Terms and the License Purchase Agreement, the provisions of the License Purchase Agreement take precedence.
• Franchise Business: Participation in the SFT21 Business Concept as an SFfranchisee is regulated by a separate Franchise Agreement. In case of a conflict, the provisions of the Franchise Agreement take precedence.

6. Disclaimer of Warranties and Limitation of Liability

• "AS IS": The Services are provided "as is" and "as available", without any warranties, express or implied. The Company does not guarantee that the Services will be uninterrupted, secure, or free from errors during the development phase.
• LIMITATION OF LIABILITY: To the fullest extent permitted by law, the Company, its directors, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or other intangible losses, arising from your access to or use of the Services.
• RISKS: As stated in the License Purchase Agreement, the realization of any financial benefits is not guaranteed and depends on a series of business and market risks.
• BUSINESS LOSSES: The Company is not responsible for any direct or indirect losses resulting from the use of the portal.

7. Termination of Use

• By Your Decision: You may stop using our Services at any time. For permanent account deletion, please follow the procedures outlined in the Privacy Policy.
• By Our Decision: We reserve the right, at our own discretion, to temporarily suspend or permanently terminate your user account and access to the Services if we determine that you have violated these Terms or other valid agreements (such as the License Purchase Agreement or the Franchise Agreement).

In the event of such a decision, we will make reasonable efforts to notify you via email about the taken measure. The notification will state the reason for the suspension or termination of the account and, where applicable and possible, you will be informed about your rights and the steps you can take, such as the right to appeal or seek clarification, in accordance with our internal procedures.

The Company reserves the right to take immediate action without prior notice in cases of serious violations, such as illegal activities, compromising the security of the platform, or other Users.

In the case of a franchisee, failure to fulfill operational obligations can lead to the loss of rights to weekly or monthly bonuses, while in the event of complete inactivity (the user has not accessed their SFured consecutively for a period of 90 days), it leads to automatic termination of business cooperation, with the deletion of the user account.

8. Changes to the Terms

The Company reserves the right, at its own discretion, to modify or supplement these Terms at any time. SFT21, LLC reserves the right to revise these Terms (amend or supplement) at any time. Continued use of the portal after the publication of changes is considered acceptance of the new terms.

We will notify you of all changes by publishing the updated version of the Terms on this page, along with the update of the "Last Updated" date at the top of the document.

Additionally, we will make reasonable efforts to notify all Registered Users (including License Holders and SFfranchisees) of significant changes through a notification within their SFured user interface or via email.

Your continued use of the Services after the changes become effective will be considered your acceptance of such modified Terms. If you do not agree with the new Terms, you must stop using the Services. We recommend that you regularly review these Terms to be aware of any possible changes.

9. Applicable Law and Dispute Resolution

The substantive law of Switzerland will apply to and interpret these Terms of Use, excluding the application of the United Nations Convention on Contracts for the International Sale of Goods (CISG).

All disputes, disagreements, or claims arising out of or in connection with these Terms of Use, including their breach, termination, or validity, shall be finally resolved by arbitration in accordance with the Swiss Rules of International Arbitration of the Swiss Arbitration Centre.

The number of arbitrators shall be one.
The seat of the arbitration shall be Zurich, Switzerland.
The language of the arbitral proceedings shall be English.
